DRINKSBOX OFFER TERMS

These promotional terms apply to the promotions described below (each a "Promotion"). They are the separate terms referred to in clause 12.1 of the DrinksBox Buyer Terms (the "Buyer Terms") and must be read together with the Buyer Terms. Words and expressions defined in the Buyer Terms have the same meaning in these promotional terms unless otherwise stated. If there is any conflict between these promotional terms and the Buyer Terms in relation to a Promotion, these promotional terms prevail in respect of that Promotion.
General
Promoter. The promoter of each Promotion is DrinksBox Limited ("DrinksBox", "we", "us" or "our"), registered in England and Wales under company number 16420125, registered office Suite 5, Fulham Business Exchange, London SW6 2TL. We operate DrinksBox as disclosed agent for the Suppliers.
Promotions. Each Promotion is a Promotion for the purposes of clause 12.1 of the Buyer Terms. Participation is subject to these promotional terms and to the Buyer Terms.
Funding. Each Promotion is funded by DrinksBox. A Promotion reduces the total amount payable by you at checkout and does not affect the prices set by the Suppliers for the Products.
Eligibility. Each Promotion is open to trade buyers approved by us with an Account in good standing, purchasing Products for business purposes and not as a consumer. Orders must be placed through DrinksBox.
Venue. In these promotional terms, "Venue" means a distinct trading premises or delivery address registered to an Account. Where an Account holds more than one Venue, each Venue is treated separately for the purposes of each Promotion.
Ex VAT. All values, thresholds and discounts in these promotional terms are stated and calculated exclusive of VAT (the prices of Products on DrinksBox being exclusive of VAT in accordance with clause 7 of the Buyer Terms), and exclude delivery and any other charges unless stated.
Combination with other offers. Unless stated otherwise, a Promotion may be combined with other current Promotions and with Loyalty Credit, in each case subject to these promotional terms, the terms of the relevant offer and the Buyer Terms. A Promotion is not Loyalty Credit, and the loyalty programme terms in clause 12.2 of the Buyer Terms do not apply to it.
General conditions. Each Promotion is non-transferable, has no cash alternative, and may not be resold or exchanged. We may amend, suspend or withdraw any Promotion, and may disqualify any Account or Venue, where we reasonably suspect misuse, fraud or breach of the Buyer Terms.
Clawback. Where an order to which a Promotion has been applied is cancelled, refunded or unpaid (in whole or in part) under the Buyer Terms, or where a Promotion is obtained or used through misuse or fraud, we may recover the value of the benefit given, including by deduction from any Loyalty Credit, debit to your Account, or set-off against any amount owing to or by you.
Governing law and third parties. These promotional terms are governed by English law and you and we each irrevocably agree to submit to the exclusive jurisdiction of the English courts. No person other than you and us has any right to enforce these promotional terms under the Contracts (Rights of Third Parties) Act 1999.
Offer One: £25 off your first order
The offer. £25 off the first order placed for a Venue on DrinksBox, applied using code OPENING25. The discount is applied to the ex-VAT value of that order.
Eligibility. The offer is available to any Venue that has not previously placed an order on DrinksBox.
One use per Venue. Code OPENING25 may be used once per eligible Venue, on that Venue's first order. Where an Account holds more than one Venue, each eligible Venue may use the code once on its own first order.
No minimum order. There is no minimum order value.
Orders under £25. If the ex-VAT value of the qualifying order is less than £25, the discount is limited to that value. No credit, cash or carry-forward applies to any unused balance.
How to use it. Enter code OPENING25 at checkout before submitting your order. The discount cannot be applied once an order has been submitted.
Offer Two: £200 voucher for £2,000 spend in July 2026
The offer. Spend £2,000 or more (ex VAT) per Venue on qualifying orders placed through DrinksBox in July 2026 and receive a £200 voucher to spend on DrinksBox.
Qualifying spend. Qualifying spend is the ex-VAT value of Products on orders placed for a Venue between 00:00 on 1 July 2026 and 23:59 on 31 July 2026 (UK time), measured by the date each order is placed. Qualifying spend is calculated before any OPENING25 discount, but excludes delivery and other charges and excludes any part of an order paid using Loyalty Credit.
Net of reversals. Where an order (or part of an order) counting toward qualifying spend is later cancelled, refunded or unpaid under the Buyer Terms, that amount is deducted from qualifying spend.
Per Venue. Qualifying spend is assessed separately for each Venue. Where an Account holds more than one Venue, each Venue that independently reaches £2,000 ex VAT qualifies for its own voucher.
Issue of the voucher. Each qualifying Venue will be issued its own personal, single-use voucher code in August 2026.
Redemption. The voucher gives £200 off the ex-VAT value of a future order placed for the Venue that earned it. There is no minimum order value to redeem it.
Single use. The voucher must be redeemed in a single order. Where the ex-VAT value of that order is less than £200, any unused balance is forfeited and no credit, cash or carry-forward applies. The voucher is not Loyalty Credit and clause 12.2 of the Buyer Terms does not apply to it.
Expiry. The voucher expires at 23:59 on 30 September 2026 (UK time) and cannot be used after that time.
Clawback. Without limiting clause 1.9, where a Venue's qualifying spend is later reduced below £2,000 ex VAT, we may withdraw an unredeemed voucher and/or recover the £200 value of a redeemed voucher in accordance with clause 1.9.
